Thank you for visiting our MRCA site. For purposes of recognition, “we” or “us” or “MRCA” refers to Midwest Roofing Contractors Association.  We provide our services to you subject to the following terms and conditions.

Fraudulent and other Illegal Activity Prohibited

User’s Account Obligations

In consideration of your use of the site, you agree to provide true, accurate, current and complete information about your company and yourself as prompted by the form for your account information.  MRCA reserves the right to suspend or terminate your account and discontinue your access if we have reasonable grounds to suspect that information provided is inaccurate or misleading.

You expressly understand and agree that:

Limitation of Liability

MRCA, its affiliates or other involved persons shall not be liable for any direct, indirect, incidental, special or consequential damages, resulting from the use or the inability to use the site or for the cost of procurement of substitute goods and services or resulting from any goods or services purchased or obtained or messages received or transactions entered into through the site or resulting from unauthorized access to or alteration of your transmissions of data, including but not limited to, damages for loss of profits, use, data or other intangible, even if we have been advised of the possibility of such damages.

 Some states do not allow the exclusion or limitation of liability for consequential or incidental damages. In such states, liability is limited to the fullest extent permitted by law.

 If you are dissatisfied with any portion of the service, or with any of these terms of use, your only and exclusive remedy is to discontinue use of the site and related sites.

Waiver of Jury Trial

The parties hereby irrevocably waive any and all rights to trial by jury in any and all legal proceedings arising out of or relating to this agreement or the transaction contemplated hereby.

Indemnification

You agree to indemnify and hold us, our affiliates, officers, agents, partners and employees, harmless from any claim or demand, including reasonable attorney’s fees, made by any third party due to or arising out of connection to the Site, your violation of the terms of service, or your violation of any rights of another.

Links from the site to any other side do not mean that we approve of, endorse or recommend that site. Applicable Law

These terms will be governed by and construed in accordance with the laws of the State of Illinois, without regard to any principles of conflicts of law. You agree that nay action at law or in equity that arises out of or relates to these terms will be filed on in the state of federal courts located in Illinois, and you hereby consent and submit to the personal jurisdiction of such courts for the purposes of litigating any such action.

Termination

We may terminate your access, or suspend any user’s access to all or part of the site, without notice, for any conduct that we, in our sole discretion, believe is a violation of any applicable law or is harmful to the interest of another user.  MRCA membership does not guarantee access to the MRCA web site.

Entire Agreement

These Terms and Conditions of Use constitute the entire agreement and understanding between you and us, superseding any prior agreements and understandings, and govern your use of the Site.  There may also be additional terms and conditions that apply when you access any other site via provided link.
